Terms of Sale

IMPORTANT NOTICE FOR US CUSTOMERS: Clause 3.14 contains a binding individual arbitration agreement and a class-action waiver. It affects how disputes are resolved. You may opt out within 30 days, as described in clause 3.14.7.

3.1 Who you are buying from

3.1.1 Your contract is with the Seller for your delivery address:

• United States deliveries: Scientific Cosmetix LLC t/a Professional Hair Labs, 3795 Correia Drive, Zephyrhills, Florida 33542, USA.
• All other deliveries: Professional Hair Products Limited (CRO 497664, VAT IE9784560T), Wexford Office & Business Park, Whitemill Industrial Estate, Wexford, Y35 X0TK, Ireland.

3.1.2 The Seller is named on your order confirmation and invoice. Professional Hair Products Limited manufactures all GHOSTBOND Products. Scientific Cosmetix LLC distributes them in the United States.

3.2 Who may buy

3.2.1 The Site sells to Consumers aged 18 or over for personal use, and to individual stylists and hair-replacement professionals buying for use in their own practice.

3.2.2 Products bought on the Site are not for resale. We may limit quantities per Order or per customer. We may also cancel Orders that we reasonably believe are for unauthorised resale. Trade, wholesale and distributor buyers should apply through business.prohairlabs.com, where separate trade terms apply.

3.3 Orders and contract formation

3.3.1 When you place an Order, you are making an offer to buy. We send an email acknowledging the Order. That acknowledgement is not an acceptance.

3.3.2 The contract is formed when we email you to confirm dispatch. We may decline an Order before then, for example because of a pricing or description error, stock unavailability, a failed fraud or payment check, or a breach of clause 3.2. If we decline after taking payment, we refund it in full.

3.3.3 The contract is concluded in English. We store a copy of your Order, and you can view it in your account.

3.4 Prices, taxes and payment

3.4.1 Prices are shown in the currency of your selected market.

• EU and UK: prices include VAT at the applicable rate.
• US: prices exclude sales tax, which is calculated and added at checkout where applicable.
• Other countries: prices exclude import duties and local taxes (see clause 3.6.3).

3.4.2 Delivery charges are shown at checkout before you pay.

3.4.3 If a Product is listed at an obviously incorrect price, we may cancel the Order and refund any payment, even after dispatch confirmation. We may also offer you the Product at the correct price.

3.4.4 We accept the payment methods shown at checkout. Payment is taken when you place the Order. Card data is processed by our payment providers and is never stored by us.

3.4.5 Payment collection for US Orders. For US Orders, Professional Hair Products Limited collects payment through Shopify Payments and PayPal as limited payment-collection agent for Scientific Cosmetix LLC. Paying Professional Hair Products Limited fully discharges your obligation to pay Scientific Cosmetix LLC. Your contract remains with Scientific Cosmetix LLC as Seller, and so do your refunds and statutory rights. Your card or PayPal statement will show "GHOSTBOND".

3.5 Product information

3.5.1 We take care to describe Products accurately. Colours, finishes and packaging may vary slightly from images. Packaging may change during a rebrand, but formulas will not change without being reflected in the ingredient list.

3.5.2 GHOSTBOND products are cosmetic products. Always read the label, including ingredients, warnings and directions, before use. Follow the Product Safety & Use Policy.

3.6 Delivery, title and risk

3.6.1 Delivery is governed by the Shipping & Delivery Policy.

3.6.2 Risk of loss passes to you when the Products, or the last item of a split Order, are physically delivered to you or to a person you nominate. Ownership passes once we have received full payment.

3.6.3 Deliveries outside the EU and the US. Delivery is on a Delivered-at-Place basis. You are the importer of record and are responsible for import duties, customs fees and local taxes collected on delivery. The exception is any tax the law requires us to collect at checkout, such as UK VAT on consignments of £135 or less.

3.7 Cancellation, returns and refunds

Your right to cancel, and our returns process, are set out in the Returns & Refunds Policy. It forms part of these Terms of Sale.

3.8 Faulty or incorrect Products

3.8.1 Consumers in Ireland, the EU and the UK. You have legal rights if Products are faulty, not as described, or not fit for purpose. In Ireland these come from the Consumer Rights Act 2022. Remedies include repair or replacement, a price reduction, or a refund. These Terms do not affect those rights.

3.8.2 Consumers in the United States. We warrant that Products, when delivered, will conform to their description and be free from manufacturing defects until the expiry date on the label, if they are stored and used as directed. Your remedy is replacement or refund. To the extent permitted by law, implied warranties are limited to the same period. Some states do not allow limits on implied warranties, so this limit may not apply to you. This warranty gives you specific legal rights, and you may have other rights that vary by state.

3.8.3 This warranty and our goodwill commitments apply only to genuine Products bought from GHOSTBOND or an Authorised Retailer. Statutory rights you have against the seller you bought from are not affected.

3.9 Liability

3.9.1 Nothing in these Terms excludes or limits our liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; (c) liability under product liability laws for defective products; or (d) any other liability that cannot be excluded or limited by law.

3.9.2 Subject to clause 3.9.1, we are responsible to Consumers for foreseeable loss and damage caused by our breach of these Terms or our negligence. We are not responsible for loss or damage that was not foreseeable. We are not responsible for loss caused by using the Products contrary to the label directions or warnings, or by using counterfeit, expired or improperly stored products.

3.9.3 Professional buyers. If you buy in the course of a business, then subject to clause 3.9.1 we are not liable for loss of profit, revenue, business or goodwill, or for indirect or consequential loss. Our total liability for each Order is limited to the price paid for that Order.

3.10 Events outside our control

We are not responsible for delays or failures caused by events beyond our reasonable control. Examples include carrier disruption, customs holds, extreme weather, labour disputes, supply shortages, cyber incidents and government action. We will tell you promptly. If the delay is substantial, you may cancel and receive a refund for Products not yet delivered.

3.11 Complaints and disputes

3.11.1 Contact Customer Care first at cs@prohairlabs.com. We acknowledge complaints within 2 Business Days and aim to resolve them within 14 days.

3.11.2 Consumers in Ireland and the EU may also contact the Competition and Consumer Protection Commission (ccpc.ie) or the consumer authority in their own country. Consumers in the UK may contact Citizens Advice.

3.12 Governing law

3.12.1 US Orders are governed by the laws of the State of Florida and, for clause 3.14, the Federal Arbitration Act. Disputes are resolved by binding individual arbitration under clause 3.14. Any dispute that clause 3.14 does not cover goes to the state and federal courts in Pasco County or Hillsborough County, Florida.

3.12.2 All other Orders are governed by the laws of Ireland, and the Irish courts have jurisdiction. Consumers keep the protection of the mandatory laws of their country of residence and may bring proceedings in its courts.

3.13 General

These Terms of Sale, the policies they refer to, and your order confirmation form the whole agreement for your Order. If a provision is found unenforceable, the rest remain in effect. We may update these Terms for future Orders. The version in force when you placed your Order applies to that Order.

3.14 Arbitration and class-action waiver (US customers only)

3.14.1 Scope. This clause applies only if you live in the United States, or your Order is delivered there. It covers any dispute, claim or controversy between you and Scientific Cosmetix LLC, Professional Hair Products Limited, or their affiliates, officers, employees or agents. It covers disputes arising out of or relating to the Site, an Order, the Products, these Terms of Sale, the Website Terms of Use, or any GHOSTBOND programme (a "Dispute").

3.14.2 Informal resolution first. Before starting arbitration, send a written Notice of Dispute to cs@prohairlabs.com with the subject "Notice of Dispute". Include your name, your contact details, your order number (if any), a description of the Dispute, and the relief you seek. We will do the same if we have a Dispute with you. Both parties will try in good faith to resolve the Dispute within 60 days. During that period, limitation periods and filing-fee deadlines are suspended.

3.14.3 Binding arbitration. If the Dispute is not resolved within 60 days, it will be resolved by binding individual arbitration. The arbitration is administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules in force at the time, which are available at adr.org. The Federal Arbitration Act governs the interpretation and enforcement of this clause. The arbitrator decides all issues, including questions about the scope, validity and enforceability of this clause, except as provided in clause 3.14.8.

3.14.4 Location and format. For claims of US$25,000 or less, the arbitration is conducted on documents only, or by telephone or video, unless the arbitrator decides that an in-person hearing is needed. Any in-person hearing takes place in the county where you live, or in Pasco County, Florida, at your choice.

3.14.5 Fees. Filing, administration and arbitrator fees are paid as set out in the AAA Consumer Arbitration Rules, under which the business pays most fees. Each party bears its own legal fees unless the arbitrator awards fees under applicable law.

3.14.6 Exceptions. Either party may: (a) bring an individual claim in small-claims court if it qualifies and stays there; and (b) seek injunctive or equitable relief in court to stop infringement or misuse of intellectual property, including counterfeiting of GHOSTBOND products.

3.14.7 Your right to opt out. You may opt out of this clause by emailing cs@prohairlabs.com, with the subject "Arbitration Opt-Out", within 30 days of first accepting these Terms of Sale. Include your name, address and email address. Opting out does not affect any other part of these Terms. Clause 3.12.1 then applies with the Florida courts.

3.14.8 Class-action and jury waiver. You and we each agree to bring Disputes only in an individual capacity, and not as a plaintiff or class member in any class, collective, consolidated or representative action. The arbitrator may award relief only to the individual party seeking it, and only as much as that party's individual claim requires. You and we each waive any right to a jury trial. If a court finds this clause 3.14.8 unenforceable for a particular claim, that claim must proceed in the courts named in clause 3.12.1, and not in arbitration.

3.14.9 Mass filings. If 25 or more similar demands for arbitration are filed against us by, or with the help of, the same or coordinated counsel, the AAA Mass Arbitration Supplementary Rules apply.

3.14.10 Changes and survival. If we change this clause, the change does not apply to a Dispute of which we had notice before the change. This clause survives the end of your relationship with us.
